Terms of Service

Plain version: narra is software your business uses to run its own work. The records you put in it are yours, we do not sell them, and you can take them out or have them deleted. narra is in a private pilot, so it may change and it may break. The rest of this page is the detail behind that.
1. Who these terms are between
These Terms of Service (“Terms”) govern your access to and use of narra (“narra,” “we,” “us”), the operations software operated by OTMX Global LLC. By creating an account or using narra, you agree to these Terms.
If you use narra on behalf of a business, you agree to these Terms for that business, you represent that you are authorised to do so, and “you” means that business.
2. What narra is
narra is software for home-services businesses. It keeps one record for a piece of work. The quote, the schedule, the visit, the invoice and the payment, together with the client records, team, pricing and reporting around it.
narra is a tool you operate. We do not perform your services, contract with your customers, guarantee your results, or act as a party to any agreement between you and the people you work for.
narra does not take your customers' money. Where you enable card payments, funds move through your own payment provider account and settle to you. narra creates the request to pay and records the outcome; it never holds your funds.
3. The pilot
narra is offered as a private pilot by invitation. There is no public sign-up. Pilot access is provided so that you can use the product and so that we can improve it.
During the pilot you should expect that features will change, be added, or be withdrawn; that interruptions and defects are more likely than in a settled product; and that we may contact you about how you are using narra. Nothing in the pilot creates an obligation on us to release any particular feature, or to continue the pilot for any period.
Keep your own copies of anything you cannot afford to lose. narra takes care with your records and it is not a substitute for your own bookkeeping and backups.
4. Your account
- You must give accurate account information and keep it current.
- You are responsible for activity under your account and for keeping credentials secure.
- You are responsible for the people you invite and for what they do in your workspace.
- You must be old enough to form a binding contract where you live, and narra is for business use rather than personal use.
- Tell us promptly at team@narraweb.com if you believe your account has been accessed without your permission.
5. Your data and content
Your data is yours. Clients, quotes, jobs, invoices, photos, notes and everything else you put into narra remain yours. We claim no ownership of it.
You grant us the permission we need to run the service for you: to store your data, to process and display it back to you and the people you authorise, to transmit it to the services you connect or that narra uses to deliver the product, and to make backups. That permission exists so the software can work, and for no other purpose.
We do not sell your data, and we do not use your business records or your customers' details to advertise to anyone.
You are responsible for having the right to store and use the information you put into narra, including your customers' details. And for meeting whatever obligations you owe them. See our Privacy Policy for how data is handled.
6. Your customers' information
Most of what narra holds is information about your customers, which you collected. For that information you are the controller and we act on your instructions as a processor. In practical terms:
- we handle it to provide narra to you, not for our own purposes;
- we only pass it to the services described in the Privacy Policy, or to services you connect yourself;
- if one of your customers asks you to correct or delete their information, you can do that in narra, and we will help if you need us to.
7. Acceptable use
Do not use narra to:
- break the law, or infringe someone else's rights;
- send unsolicited bulk messages, or contact people who have asked you to stop;
- upload malicious code, or attempt to breach, probe or overload the service;
- access another business's workspace or data;
- resell narra, or use it to build a competing product;
- store payment card numbers, government identifiers, or health information in free-text fields. narra is not built to hold those, and its fields are not designed for them.
8. Connected services
narra can connect to services you already use. A payments provider, your email, mapping, accounting, messaging, and others. Those connections use your accounts and your credentials, and they are governed by those providers' own terms. Their fees are yours.
We are not responsible for a third-party service being unavailable, changing, or ending. If one stops working, the parts of narra that depend on it may stop working too.
9. Fees and billing
Where narra is offered without charge, including during the pilot. No fee is due, and we may begin charging for continued use with notice.
Where fees apply, the price and billing period are shown to you before you are charged. Unless stated otherwise, fees are billed in advance, are non-refundable except where the law requires otherwise, and exclude taxes, which are your responsibility. If a payment fails we may suspend paid features until it is resolved.
10. Our intellectual property
narra. The software, its interface, its documentation and its name, belongs to OTMX Global LLC and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use narra for your business while your account is active. Nothing here transfers ownership.
Do not copy, decompile, or reverse engineer narra except where the law expressly permits it, and do not remove or obscure any notice of ownership.
11. Feedback
If you send us ideas, suggestions or bug reports, we may use them without restriction and without owing you anything for them. This lets us act on what pilot users tell us. It does not give us any right to your business data.
12. Confidentiality
Each of us may learn non-public information about the other. Both of us agree to protect it with reasonable care and to use it only for the purpose it was shared for. This does not apply to information that is public through no fault of the recipient, was already known, is independently developed, or must be disclosed by law. And where the law compels disclosure, we will tell you unless we are prohibited from doing so.
13. Availability and changes
We aim to keep narra available and to improve it. We do not promise uninterrupted or error-free service, and we may change, add or remove features.
If we make a change that materially reduces a core function you rely on, we will give reasonable notice where we practically can. We may perform maintenance, and will try to do so at quieter times.
14. Suspension
We may suspend access, to a user, or to a workspace. Where we reasonably believe it is necessary to stop a security risk, to stop harm to other users or to the service, or to comply with the law, or where these Terms are being breached. Where the circumstances allow it, we will warn you first and restore access once the cause is resolved.
15. Termination and your data
You may stop using narra and close your account at any time. We may end or suspend your access if you materially breach these Terms, or if we discontinue the service.
You can export your data while your account is active, and we recommend doing so before you close it. After termination we retain your data for a limited period so that an account closed by mistake can be recovered, then delete it, see the deletion section of the Privacy Policy. You can ask us to delete it sooner.
16. Disclaimers
narra is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
narra helps you record and calculate money, and it is not an accountant, a bookkeeper, a tax adviser or a lawyer. Totals, taxes, payroll figures and reports are tools for your own judgement. Check them. You remain responsible for what you charge, what you file and what you pay.
17. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business or lost data, even if advised such damages were possible.
Our total liability arising out of or relating to narra is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars.
Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud.
18. Indemnification
You agree to defend and indemnify OTMX Global LLC against third-party claims arising from your use of narra in breach of these Terms, from content you put into narra, or from the services you provide to your own customers. We will tell you promptly about any such claim and let you control the defence, and we will not settle without your agreement.
19. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in New York, and both of us consent to that jurisdiction.
Before filing anything, please email team@narraweb.com. Most problems are faster to fix than to argue about.
20. General
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger or sale of the business.
- Severability. If a provision is unenforceable, the rest stays in force.
- No waiver. Not enforcing a provision once does not waive it.
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about narra, and replace any earlier version.
- Notices. We may reach you at the email address on your account or in the product; reach us at team@narraweb.com.
- Force majeure. Neither of us is liable for delay or failure caused by events beyond reasonable control.
- Changes to these Terms. We may update them. If a change is material we will give notice in the product or by email before it takes effect, and continuing to use narra after that means you accept it. The date at the top always says when this version was published.
- Independent contractors. These Terms create no partnership, agency or employment relationship.
